January 16, 2025

Corporate member Jarrod Duffy and Government Contracts member Bret Wacker led a Clark Hill team to support federal IT service provider Zivaro in its sale to Trace3. Clark Hill tax and labor and employment attorneys Annie Cestra, Cameron Kehm, James Olson, Ken Wear, and Lauren Perez also supported Zivaro in its acquisition.

Clark Hill has represented Zivaro for more than 12 years out of its Denver and Boulder offices prior to the sale transaction.

“This was a full deployment of our professionals to assist a long-term client enter a new chapter,” Wacker said. “This has been one of my most satisfying client relationships, so it’s great to ensure that the Zivaro shareholders and the buyer are ultimately satisfied with the acquisition.”

Denver-headquartered, Zivaro got its start 25 years ago in IT hardware reselling but its current principal business is in delivering IT services and integrations. State and federal government clients also rely on Zivaro for cloud implementation and cybersecurity support.

“After 25 years, we could not have found a better partner in Trace3 to become the new stewards of Zivaro’s people and clients,” said Greg Byles, Zivaro’s co-founder and CEO. “I have no doubt Trace3 will continue the legacy we built in delivering mission success through relentless commitment to our long-standing customers working in our Nation’s most critical missions.”

“The combination between Trace3 and Zivaro is very complementary to help Trace3 get a running start with government work,” Wacker said. “Trace3 has been commercially driven and they could have gotten into government work on its own, but this will certainly boost those efforts.”
